1 Acceptance of Terms

Welcome to Valantir AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Valantir AI FZ-LLC ("Company," "we," "us," or "our"), governing your access to and use of our website, applications, APIs, and AI-powered SaaS products (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

Eligibility

To use our Services, you must:

• Be at least 18 years of age, or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• If registering on behalf of an organization, have authority to bind that organization to these Terms

2 Description of Services

Valantir AI provides a suite of AI-powered Software-as-a-Service (SaaS) products designed to enhance business operations, productivity, and competitive intelligence. Our current product portfolio includes:

We reserve the right to modify, suspend, or discontinue any Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3 Account Registration

Account Creation

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account. We strongly recommend:

• Using a strong, unique password
• Enabling two-factor authentication
• Not sharing your credentials with others
• Logging out from shared devices

4 Subscriptions & Billing

Subscription Plans

Our Services are offered through various subscription plans, including free tiers and paid plans. Features, usage limits, and pricing vary by plan and product. Current pricing is available on our website and within each product's dashboard.

Payment Terms

• Billing Cycle: Subscriptions are billed monthly or annually, as selected during checkout
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Payment Methods: We accept major credit cards and other payment methods through Stripe
• Currency: All prices are displayed in USD unless otherwise specified
• Taxes: Prices exclude applicable taxes, which will be calculated at checkout

Refunds & Cancellations

• Free Trial: Some products offer free trials. You won't be charged until the trial ends
• Monthly Plans: May be cancelled at any time; access continues until the end of the billing period
• Annual Plans: Refunds are available within the first 14 days of purchase. After 14 days, annual subscriptions are non-refundable but may be cancelled to prevent renewal
• Prorated Refunds: Not available for partial months of service

Price Changes

We reserve the right to change our prices at any time. Price changes for existing subscriptions will take effect at the next renewal period, and we will provide at least 30 days' notice of any price increase.

5 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal, harmful, or fraudulent purpose
• Infringe intellectual property rights of others
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Scrape, crawl, or collect data from our Services without authorization
• Use the Services to send spam, unsolicited communications, or harassment
• Impersonate any person or entity, or falsely represent your affiliation

Product-Specific Restrictions

• VocalTwin.io: You may only clone voices for which you have explicit consent from the voice owner
• CompetitorSpy.ai: You may not use scraped data in ways that violate competitors' terms of service
• Escrow.fm: You may not use the platform for illegal gambling or money laundering
• buildr.sh: You may not generate applications that contain malware or violate these Terms
• Fnatic.ai: You may not generate content that violates copyright, depicts illegal activities, or creates non-consensual deepfakes
• AICrawler.io: You must respect robots.txt directives, rate limits, and may not use the service for DDoS attacks or unauthorized access

Rate Limits & Fair Use

We impose rate limits and fair use policies to ensure service quality for all users. Excessive use that impacts other users may result in throttling or account suspension.

6 User Content

Your Content

"User Content" means any data, text, files, images, audio, video, or other content that you upload, submit, or otherwise transmit through our Services. You retain ownership of your User Content, subject to the license granted below.

License Grant

By submitting User Content, you grant Valantir AI a worldwide, non-exclusive, royalty-free license to:

• Use, store, process, and display your User Content to provide the Services
• Create derivative works as necessary to deliver the Services (e.g., AI processing)
• Back up and archive your User Content for service reliability

This license terminates when you delete your User Content or close your account, except for data retained for legal or legitimate business purposes.

Content Responsibilities

You are solely responsible for your User Content and represent that:

• You own or have the necessary rights to the content
• Your content does not violate any law or third-party rights
• Your content does not contain harmful, offensive, or inappropriate material

Content Moderation

We reserve the right (but have no obligation) to review, remove, or disable access to User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

7 Intellectual Property

Our Intellectual Property

The Services, including all content, features, functionality, software, and technology, are owned by Valantir AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used without our prior written consent.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

Feedback

If you provide suggestions, ideas, or feedback about our Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide license to use such Feedback without restriction or compensation.

Third-Party Components

Our Services may include open-source or third-party components subject to their own license terms. Such terms are available within the applicable product documentation.

8 AI-Specific Terms

AI Output Ownership

Subject to applicable law and third-party rights:

• You own the outputs generated by our AI Services based on your inputs
• We retain rights to improve our AI models using aggregated, anonymized data
• You may not claim ownership of AI outputs that are substantially similar to outputs generated for other users

AI Accuracy & Limitations

You acknowledge that:

• AI systems may produce inaccurate, incomplete, or biased outputs
• AI outputs should not be used as the sole basis for critical decisions
• We do not guarantee the accuracy, reliability, or fitness of AI outputs for any purpose
• AI capabilities and limitations may change as we update our models

Voice Cloning Consent (VocalTwin.io)

For voice cloning services, you must:

• Obtain explicit written consent from the voice owner before cloning
• Not clone voices of public figures without proper authorization
• Not use cloned voices for fraud, impersonation, or deception
• Disclose the use of AI-generated voices when required by law or context

Generated Code (buildr.sh)

Code generated through buildr.sh:

• Is provided "as is" and should be reviewed before deployment
• May contain bugs, security vulnerabilities, or inefficiencies
• Should be tested thoroughly in development environments
• Is your responsibility to maintain and secure once deployed

AI-Generated Media (Fnatic.ai)

When using Fnatic.ai for image and video creation, you acknowledge:

• Generated content may be similar to content created for other users
• You are responsible for ensuring generated content does not infringe third-party rights
• Deepfake or synthetic media must not be used to deceive, defame, or harass individuals
• Content depicting real individuals requires their explicit consent
• You must comply with platform-specific content policies when sharing generated media

Web Scraping & Data Collection (AICrawler.io)

When using AICrawler.io, you agree to:

• Respect website terms of service and robots.txt directives
• Not overwhelm target servers with excessive requests
• Use collected data only for lawful purposes
• Not collect personal data without proper legal basis
• Accept responsibility for how you use extracted data
• Comply with applicable data protection regulations (GDPR, CCPA, etc.)

9 Disclaimers & Warranties

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• The quality of any products, services, information, or other material will meet your expectations
• Any errors in the Services will be corrected

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• VALANTIR AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

11 Indemnification

You agree to indemnify, defend, and hold harmless Valantir AI and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Any claim that your User Content caused damage to a third party

12 Termination

Termination by You

You may terminate your account at any time by following the account deletion process in your account settings or by contacting our support team. Upon termination:

• Your right to use the Services immediately ceases
• Your User Content may be deleted after a retention period
• You remain responsible for any outstanding charges

Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, including if we reasonably believe you have violated these Terms. We will provide notice when practicable.

Effect of Termination

Upon termination, the following sections survive: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

13 Governing Law & Disputes

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved as follows:

1. Informal Resolution: We encourage you to contact us first to resolve disputes informally
2. Mediation: If informal resolution fails, disputes may be submitted to mediation
3. Arbitration: Unresolved disputes shall be settled by binding arbitration in Sharjah, UAE

Class Action Waiver

To the extent permitted by law, you agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

14 Changes to Terms

We may modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We will notify you via email and/or prominent notice on our website
• For significant changes affecting your rights, we may provide 30 days' notice

Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.
